Terms of Service

Welcome to Textmunication. These Terms of Service (“Terms”) govern your access to and use of the Textmunication platform, including the SAM AI messaging suite, APIs, and related services (collectively, the “Services”) provided by Textmunication, Inc. (“Textmunication,” “we,” “our,” or “us”). By registering for or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Account Registration and Security

1.1 Eligibility

To use the Services, you must be at least 18 years old and have the legal authority to enter into binding agreements on behalf of yourself or the business you represent. By creating an account, you represent and warrant that you meet these requirements.

1.2 Account Creation

You must provide accurate, complete, and current information during registration, including a valid business name, address, and contact email. You are responsible for maintaining the accuracy of this information and must promptly update it if it changes.

1.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials, including your username, password, and API keys. You agree to notify Textmunication immediately at support@textmunication.com if you suspect unauthorized access to your account. Textmunication is not liable for any loss or damage arising from your failure to protect your credentials.

1.4 Account Responsibility

You are solely responsible for all activities that occur under your account, whether or not authorized by you. Textmunication reserves the right to suspend or terminate accounts that violate these Terms or that are used for fraudulent, abusive, or unlawful purposes.

2. Use of Services

2.1 Permitted Use

Subject to these Terms, Textmunication grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your lawful internal business purposes.

2.2 Prohibited Use

You agree not to, and will not permit others to:

  • Use the Services to send unsolicited commercial messages (spam) or messages to recipients who have not provided prior express written consent;
  • Use the Services in violation of the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, CTIA guidelines, or any other applicable law or carrier regulation;
  • Reverse engineer, decompile, or disassemble any component of the Services;
  • Resell, sublicense, or transfer access to the Services to any third party without Textmunication’s prior written consent;
  • Use the Services to transmit harmful, fraudulent, threatening, abusive, harassing, defamatory, or otherwise objectionable content;
  • Interfere with or disrupt the integrity or performance of the Services or related infrastructure;
  • Attempt to gain unauthorized access to Textmunication’s systems or networks.

2.3 Compliance with Laws

You are solely responsible for ensuring that your use of the Services complies with all applicable federal, state, and local laws and regulations, including without limitation the TCPA, CTIA Messaging Principles and Best Practices, and all wireless carrier policies and requirements. You acknowledge that Textmunication may be required to comply with carrier policies that restrict or condition message delivery, and Textmunication is not liable for message filtering or blocking by carriers or network operators.

2.4 Consent Requirements

You represent and warrant that all recipients of messages sent through the Services have provided legally sufficient prior express written consent to receive such messages, including all required disclosures. You are responsible for maintaining records of such consent and providing them to Textmunication upon request.

3. Fees, Payment, and Billing

3.1 Pricing and Plans

Textmunication offers various subscription plans and pay-as-you-go options. Current pricing is available at textmunication.com/pricing. Textmunication reserves the right to modify pricing at any time, with notice provided to existing customers at least 30 days prior to any changes taking effect.

3.2 Payment Terms

Subscription fees are billed in advance on a monthly or annual basis as selected during account setup. All fees are due upon the billing date. You authorize Textmunication to charge your payment method on file for all applicable fees. All payments are non-refundable except as expressly set forth in these Terms.

3.3 Automatic Renewal

Unless you cancel your subscription before the end of the current billing period, your subscription will automatically renew for an equivalent period at the then-current subscription rate. You will receive advance notice of automatic renewal charges consistent with applicable law. To cancel, follow the cancellation procedure described in Section 7.2 of these Terms.

3.4 Message Credits

Certain plans include messaging credits that are applied toward the cost of outbound messages. Credit usage rates vary by message type (SMS, MMS, RCS) and destination. Unused credits expire as specified in your plan description unless otherwise stated. Credits obtained through promotional programs, referrals, or bonuses are subject to the terms of the applicable program.

3.5 Taxes

All fees are exclusive of applicable taxes, levies, or duties. You are responsible for all taxes associated with your use of the Services, excluding taxes based on Textmunication’s net income.

3.6 Late Payment

If payment is not received by the due date, Textmunication reserves the right to suspend access to the Services until the overdue balance is paid in full. Repeated non-payment may result in account termination per Section 7.

4. Data Rights and Intellectual Property

4.1 Ownership of Services

The Services, including all software, technology, trademarks, trade names, logos, content, and documentation provided by Textmunication, are and remain the exclusive property of Textmunication and its licensors. These Terms do not grant you any rights to Textmunication’s intellectual property except as expressly set forth herein.

4.2 Your Content

You retain all ownership rights in the content, data, and materials you upload or submit through the Services (“Your Content”). By submitting Your Content, you grant Textmunication a non-exclusive, worldwide, royalty-free license to host, store, transmit, and process Your Content solely for the purpose of providing and improving the Services. Textmunication does not sell Your Content or use it for its own marketing purposes without your consent.

4.3 Feedback

If you provide Textmunication with any feedback, suggestions, or recommendations regarding the Services (“Feedback”), you grant Textmunication an irrevocable, non-exclusive, royalty-free, perpetual license to use and incorporate such Feedback into the Services without compensation or attribution to you.

4.4 Privacy

Textmunication’s collection and use of personal information is governed by our Privacy Policy, which is incorporated herein by reference. By using the Services, you consent to the practices described in the Privacy Policy.

5. Content and Compliance Standards

5.1 Acceptable Content

All messages and content transmitted through the Services must comply with Textmunication’s Acceptable Use Policy, applicable laws, and wireless carrier guidelines. You may not use the Services to transmit content that is illegal, fraudulent, misleading, threatening, obscene, or that infringes the intellectual property rights of any third party.

5.2 Prohibited Content Categories

Without limiting Section 5.1, the Services may not be used to send messages related to: cannabis or controlled substances (regardless of local legality), adult content, firearms sales, illegal gambling, hate speech, or any content classified as high-risk by the Campaign Registry (TCR) or major wireless carriers. Textmunication reserves the right to determine, in its sole discretion, whether content violates these standards.

5.3 10DLC and Short Code Compliance

You are responsible for ensuring that all sending numbers (long codes, short codes, or toll-free numbers) used through the Services are properly registered with The Campaign Registry (TCR) and comply with applicable carrier requirements for A2P 10DLC messaging. Textmunication may assist with registration but is not responsible for carrier approval decisions or filtering actions based on registration status.

5.4 DMCA — Copyright Infringement Claims

If you believe that content transmitted through the Services infringes your copyright, please submit a DMCA notice to Textmunication’s designated agent with the following information:

  • A physical or electronic signature of the copyright owner or authorized agent;
  • Identification of the copyrighted work claimed to have been infringed;
  • Identification of the material that is claimed to be infringing and its location in the Services;
  • Your contact information (address, phone, and email);
  • A statement of good faith belief that the use is not authorized by the copyright owner; and
  • A statement, made under penalty of perjury, that the information is accurate and you are authorized to act.

5.5 Monitoring and Enforcement

Textmunication reserves the right, but has no obligation, to monitor content sent through the Services for compliance with these Terms. Textmunication may suspend or terminate access for any account found to be in violation of these content standards without prior notice.

6. Limitations of Liability

6.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. TEXTMUNICATION DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

6.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL TEXTMUNICATION, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES.

IN NO EVENT WILL TEXTMUNICATION’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO TEXTMUNICATION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

6.3 Indemnification

You agree to indemnify, defend, and hold harmless Textmunication and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) Your Content; (c) your violation of these Terms; (d) your violation of any third-party rights; or (e) your violation of any applicable law or regulation.

6.4 Service Availability

Textmunication does not guarantee that the Services will be available at all times or that message delivery will be timely or successful. Message delivery is subject to wireless carrier policies, network conditions, and recipient device availability, all of which are outside Textmunication’s control.

7. Term and Termination

7.1 Term

These Terms commence on the date you create an account and continue until terminated by either party as set forth herein.

7.2 Termination by You

You may cancel your subscription at any time by contacting Textmunication at support@textmunication.com or through the account portal. Cancellation takes effect at the end of your current billing period. No refunds will be issued for unused portions of the billing period, except as required by applicable law.

7.3 Termination by Textmunication

Textmunication may suspend or terminate your access to the Services immediately and without notice if: (a) you breach any provision of these Terms; (b) you engage in fraudulent, abusive, or illegal activity; (c) your account is used to send spam or violate carrier policies; or (d) continued provision of Services would expose Textmunication to legal liability or harm its relationships with carriers or partners.

7.4 Effect of Termination

Upon termination, your right to access and use the Services will immediately cease. Sections that by their nature should survive termination will survive, including Sections 4, 6, 7.4, 8, and any accrued payment obligations.

8. Governing Law and Dispute Resolution

8.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Los Angeles County, California.

8.2 Informal Resolution

Before initiating formal dispute resolution, you agree to attempt to resolve any dispute informally by contacting Textmunication at support@textmunication.com. The parties will attempt to resolve the dispute within 30 days of such contact.

8.3 Arbitration

If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with proceedings in Los Angeles, California.

8.4 Class Action Waiver

YOU AND TEXTMUNICATION AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

8.5 Modifications to Terms

Textmunication reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the “Last Updated” date. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.

9. General Provisions

9.1 Entire Agreement

These Terms, together with the Privacy Policy and any order forms or service agreements executed between the parties, constitute the entire agreement between you and Textmunication with respect to the Services and supersede all prior and contemporaneous agreements and understandings.

9.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, without affecting the remaining provisions.

9.3 Waiver

The failure of Textmunication to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing.

9.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without Textmunication’s prior written consent. Textmunication may assign these Terms without restriction. Any attempted assignment in violation of this section is void.

9.5 Force Majeure

Textmunication will not be liable for any delay or failure to perform its obligations under these Terms to the extent caused by circumstances beyond its reasonable control, including natural disasters, acts of government, carrier network failures, or internet disruptions.

10. SAM AI Referral Program

10.1 Program Overview

Textmunication offers a referral program (the “SAM AI Referral Program” or “Program”) that allows eligible account holders to earn messaging credits by referring new businesses to the Textmunication platform. Participation in the Program is subject to the terms of this Section 10 in addition to the remainder of these Terms. Textmunication reserves the right to modify, suspend, or discontinue the Program at any time with reasonable notice.

To participate, you must have an active, paid Textmunication account in good standing. Your unique referral invite link is available within your SAM dashboard. Sharing this link is the only valid method for generating eligible referrals under the Program.

10.2 Eligible Referrals and Rewards

A referral is considered “eligible” when a business that (a) is new to Textmunication, (b) registers using your unique referral link, and (c) activates and completes its first full paid billing month on a qualifying paid plan. Credits are awarded as follows:

  • Referrer Reward: You will receive 4,000 messaging credits for each eligible referral, credited to your account within 30 days after the referred business completes its first billed calendar month on a paid plan.
  • Referee Reward: The referred business will receive a one-time bonus of 500 messaging credits applied to their account upon activation of their first paid subscription plan.

Referral credits have no cash value, are non-transferable, and will be applied as messaging credits in accordance with your plan’s credit usage rates. Credits expire as specified in your plan or, if not specified, 12 months from the date of issuance.

10.3 Restrictions and Anti-Fraud Policy

The following activities are strictly prohibited under the SAM AI Referral Program and will result in immediate disqualification, forfeiture of all accrued referral credits, and may result in account suspension or termination:

  • Self-Referral: Creating multiple accounts, using aliases, or using another person’s identity to refer yourself or a business you own or control;
  • Spam Distribution: Distributing your referral link via unsolicited messages, email spam, bulk SMS, fraudulent social media posts, or any other method that violates applicable law or Textmunication’s messaging policies;
  • Fake or Fraudulent Referrals: Referring fictitious businesses, creating accounts with false information, or engaging in any manipulation of the Program that is not a bona fide arm’s-length referral of a legitimate business.

Referral credits are non-transferable between accounts and may not be sold, gifted, or otherwise conveyed to any third party. Textmunication reserves the right to investigate suspected abuse of the Program and to reverse or withhold credits pending investigation. Determinations by Textmunication regarding Program eligibility and fraud are final.

11. Customer FAQ

11.1 How do my message credits work?

Message credits are units deducted from your account balance each time you send a message. The number of credits consumed per message depends on the message type (SMS, MMS, or RCS), message length, and destination. You can view your current credit balance and usage history at any time in your SAM dashboard.

11.2 Do my credits expire?

Credits included in your subscription plan are generally valid for the duration of your active subscription. Credits purchased as add-ons, or earned through referrals or promotions, may have specific expiration terms noted at the time of issuance. Expired credits are forfeited and cannot be reinstated. Contact support@textmunication.com with questions about specific credits on your account.

11.3 How does automatic renewal work?

Your subscription automatically renews at the end of each billing period (monthly or annually, depending on your plan) at the then-current rate. Renewal charges are applied to the payment method on file. To prevent automatic renewal, you must cancel your subscription before the renewal date by contacting support@textmunication.com or through the account portal. See Section 3.3 for full details.

11.4 How do I cancel my subscription?

To cancel, contact Textmunication Support at support@textmunication.com or log into your account portal and follow the cancellation steps. Cancellations must be received before the start of your next billing period to avoid being charged for the next cycle. After cancellation, your account remains active until the end of your paid period. No partial refunds are issued for unused days in a billing period.

11.5 How long does it take to get my 4,000 referral credits?

Referral credits are issued to your account within 30 days after the business you referred completes its first full billed calendar month on a qualifying paid Textmunication plan. You will receive a notification when credits have been applied. If credits have not been issued within the 30-day window, contact support@textmunication.com with your referral details. See Section 10.2 for full eligibility requirements.

11.6 Why was I charged for a message that was not delivered?

Message credits are deducted when a message is submitted to the carrier network for delivery, not when the carrier confirms receipt by the end recipient. This is standard practice across all A2P messaging platforms. Delivery failures can occur due to factors outside Textmunication’s control, including carrier filtering, invalid or disconnected numbers, or recipient device issues. Review your delivery reports in the SAM dashboard or contact support@textmunication.com for questions about specific undelivered messages.
